Opportunity Zone FAQs
What is a Qualified Opportunity Zone (QOZ) fund?
A QOZ fund is a private investment vehicle that invests in real estate or businesses located in federally designated Qualified Opportunity Zones. Eligible investors can defer tax on capital gains by reinvesting them into this type of fund or investment. They are also able to exclude the fund’s appreciation from tax if they hold it for at least 10 years. Tax benefits depend on individual circumstances and meeting program requirements.
How long do I have to invest after realizing a capital gain?
Generally, 180 days from the date the gain is realized. Some gains, such as those passed through a partnership, may have a different start date. Please consult your tax advisor on your timeline.
What types of capital gains qualify?
Gains treated as capital gains for federal tax purposes, including those from the sale of stock, real estate, or a business. Only the gain portion needs to be invested, not the full sale proceeds. Eligibility depends on your specific situation, so please confirm with your tax advisor.
Can I redeem my investment before the 10-year hold is up?
Redemption terms are set out in the fund’s Private Placement Memorandum (PPM). Redeeming or selling before 10 years may reduce or eliminate the tax benefit tied to the hold period. This is an illiquid investment, and there is no guarantee that early redemption will be available.
Will QOZ 1.0 or 2.0 rules apply to this investment?
It depends on when you invest:
- Before January 1, 2027: QOZ 1.0 rules apply.
- On or after January 1, 2027: QOZ 2.0 rules apply.
The two sets of rules treat deferral timing differently. Your tax advisor can confirm which rules apply to your situation.
What are the fees?
- Annual Asset Management Fee: 1.25% per annum of NAV
- Acquisition Fee: 0.5% of total development cost
- Manager Performance Fee: 15.0% after a 7.0% preferred return of total capital commitments
- Organization & Offering Fee: 1.0% of total capital commitments
